These Terms of Use (“Terms”) govern your access to and use of basswaypoint.com and related services, including paid chat subscriptions (collectively, the “Services”). The Services are operated by Intelligent Interests LLC, a Texas limited liability company (“Company,” “we,” “us,” or “our”).

1) Eligibility and Accounts

  • You must be at least 18, or the age of majority in your jurisdiction, to purchase a subscription.
  • You are responsible for your account, credentials, and all activity under it.
  • Provide accurate information and update it as needed. We may refuse, suspend, or terminate accounts at our discretion.

2) Subscriptions, Billing, and Cancellation

  • Subscriptions auto-renew until canceled. You authorize recurring charges to your payment method.
  • Prices may change. We will notify you of material changes before they take effect.
  • No refunds: Monthly subscription fees are non-refundable. Cancel before the next billing cycle to avoid future charges. Access continues through the end of the paid period.
  • Trials and promos, if offered, convert to paid unless canceled before the stated deadline.
  • Taxes may apply based on your location.

3) Permitted Use

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial use, subject to these Terms.

4) Prohibited Conduct

You agree not to:

  • Copy, scrape, harvest, or index the Services or content, including via bots or automated tools, beyond normal consumer use.
  • Circumvent technical protections, probe or test vulnerabilities, or interfere with operation.
  • Share your subscription, resell access, or exceed usage limits.
  • Upload unlawful, infringing, harmful, or deceptive content.
  • Violate applicable laws, regulations, fishing and boating rules, or third-party rights.

5) Content and Intellectual Property

  • All articles, data, text, graphics, logos, and software are owned by us or our licensors and are protected by IP laws.
  • You receive no rights except those expressly granted.
  • If you submit content (e.g., comments, testimonials), you grant us a worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, and display that content in connection with the Services and our business.

6) Affiliate Disclosure and Third-Party Links

  • This is an affiliate marketing website. We may earn commissions from qualifying purchases via links on the Services. Prices, availability, and terms for third-party products are set by the sellers and may change.
  • Third-party sites are not under our control. We are not responsible for their content, policies, or practices.

7) AI Chat and Information Accuracy

8) No Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE OR RELIABLE.

9) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR OWNERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, GOODWILL, OR REVENUE, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR USD $100, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITS; SOME LIMITATIONS MAY NOT APPLY TO YOU.

10) Indemnification

You will defend, indemnify, and hold us harmless from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.

11) Termination

We may suspend or terminate your access at any time, with or without notice, including for suspected violations of these Terms. Upon termination, your license ends and you must stop using the Services. Sections intended to survive termination will survive.

12) Changes to the Services and Terms

We may modify or discontinue the Services in whole or part. We may update these Terms by posting the revised version with the “Last updated” date. Continued use after changes means you accept the updated Terms.

14) DMCA and IP Complaints

If you believe content infringes your rights, send a written notice identifying the material and your contact information and a statement of good-faith belief and accuracy under penalty of perjury. We may remove content and, where appropriate, terminate repeat infringers.

15) Governing Law; Dispute Resolution

  • Governing law: Texas law, without regard to conflicts of law.
  • Arbitration: Any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration under the Federal Arbitration Act and the rules of the American Arbitration Association. Venue for any necessary court proceedings (e.g., to compel arbitration or for small-claims matters) will be in Texas.
  • Class-action waiver: You and we agree to bring claims only in your or our individual capacity, not as a class member or representative.
  • You may opt out of arbitration within 30 days of first acceptance of these Terms by sending written notice to the contact below.

16) Export and Sanctions

You may not use the Services if you are located in or are a resident of a jurisdiction embargoed by the United States or if you are on a U.S. government restricted-party list.

17) Miscellaneous

  • These Terms are the entire agreement between you and us regarding the Services.
  • If any provision is unenforceable, the remainder remains in effect.
  • We may assign these Terms. You may not assign without our prior written consent.
  • No waiver is effective unless in writing.
